Terms of Service
These terms govern your use of RDTI, operated by Secus Digital Pty Ltd (ABN 67 643 505 819). By creating an account or using the service, you agree to these terms on behalf of your company.
1. Who these terms are between
These terms are an agreement between Secus Digital Pty Ltd (ABN 67 643 505 819) ("we", "us", "RDTI") and the company that uses the service ("you"). If you use RDTI on behalf of a company, you confirm you are authorised to bind that company to these terms.
2. What the service does
RDTI reads your software development history and helps you prepare and substantiate an R&D Tax Incentive claim package for an income year. The package is a draft for your registered tax adviser to review, sign off, and lodge.
3. Not tax advice and not lodged
We prepare and substantiate R&D claims. We are not your tax agent, we do not provide tax advice, and we do not lodge claims. The decision to claim, the responsibility for the claim, and lodgement through your company tax return rest with you and your registered tax adviser. See our Disclaimer for more detail.
4. Eligibility and your account
The service is for Australian companies. You agree to provide accurate information, to keep your account credentials secure, and to be responsible for activity under your account. You must be authorised to act for the claiming company.
5. Your data and the authority to share it
You confirm that you are authorised to connect the repositories you connect and to share the contributor information you provide. You grant us a limited licence to access, process, and store that data for the sole purpose of providing the service to you, including sending code summaries and interview answers to the service providers described in our Privacy Policy. You keep ownership of your data.
6. Fees and payment
The fee for a claim package is A$1,500. Fees are charged through our third-party payment provider and are exclusive of any applicable taxes unless stated otherwise. Unless required by law or expressly agreed, fees are non-refundable once we have begun preparing your package.
7. Acceptable use
You agree not to:
- use the service for any unlawful purpose or in breach of any third-party rights;
- connect repositories or share data you are not authorised to share;
- copy, reverse engineer, or attempt to extract the source code of the service;
- share your access with anyone outside your organisation, or resell the service.
8. Intellectual property
You keep all rights in your data and in the claim package we prepare for you. We keep all rights in the RDTI platform, software, models, and methods we use to provide the service. Nothing in these terms transfers ownership of the platform to you.
9. Warranties and disclaimer
We provide the service with reasonable care and skill, but the service is provided "as is" to the extent permitted by law. Estimates, figures, and offsets shown are indicative only and are not a guarantee of any outcome. We do not guarantee that a claim will be accepted by AusIndustry or the Australian Taxation Office.
10. Liability
Nothing in these terms excludes rights or guarantees you have under the Australian Consumer Law that cannot lawfully be excluded. Subject to those rights, and to the extent permitted by law, our total liability arising out of or in connection with the service is limited to the fees you paid us for the relevant claim package, and we are not liable for any indirect, special, or consequential loss, or for any loss arising from a claim being reviewed, reduced, rejected, or audited. You agree to indemnify us against loss arising from your breach of these terms or your sharing of data you were not authorised to share.
11. Term, suspension, and termination
These terms apply while you use the service. We may suspend or end your access if you breach these terms or if required to protect the service or comply with law. You may stop using the service at any time. Provisions that by their nature should survive termination (including fees owed, intellectual property, and liability) will survive.
12. Changes to these terms
We may update these terms from time to time. When we do, we will change the effective date above, and your continued use of the service means you accept the updated terms.
13. Governing law
These terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales.
